SONAT OFFSHORE

Terms of Use

Website Terms and Conditions

Version 1.0 · Effective November 1, 2026

Corporate Identity

This website is operated by Sonat for Oil and Gas Services (سونات لخدمات النفط والغاز), an Egyptian limited liability company registered under Commercial Registration No. 302891 with the Cairo Investment Commercial Registry.

Registered Office: Office M5, Building 40, Makram Ebeid Street, Sixth Floor, Nasr City, Cairo, Arab Republic of Egypt.

The company conducts business and presents its services under the SONAT Offshore brand. References in these Terms to “SONAT Offshore,” “SONAT,” “we,” “us,” or “our” mean Sonat for Oil and Gas Services and, where applicable, its duly established subsidiaries, affiliates, or project entities.

1. Agreement to These Terms

These Terms of Use govern access to and use of sonatoffshore.com and its pages, materials, demonstrations, documents, graphics, and other content (the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, you should discontinue use of the Site.

These Terms concern use of the public Site only. Any commercial, consulting, engineering, drilling-management, software, project, asset-management, or other engagement with SONAT Offshore will be governed by a separately executed agreement.

2. Purpose of the Site

The Site is intended primarily for business and professional audiences and presents information concerning SONAT Offshore, including capabilities relating to areas such as:

  • offshore project and asset management;
  • rig surveys and assessments;
  • rig selection;
  • contract and tender support;
  • technical and commercial advisory;
  • rig reactivation;
  • capital upgrades;
  • shipyard execution;
  • interface management;
  • operational readiness;
  • asset integrity;
  • drilling-management support;
  • offshore asset development;
  • digital platforms;
  • employment and mobilization opportunities; and
  • other related offshore and energy activities.

Site information is provided for general corporate and business-information purposes only.

3. No Technical, Engineering, or Operational Advice

Nothing on the Site constitutes project-specific engineering advice, operational instruction, rig certification, classification approval, regulatory approval, HSE assurance, marine assurance, inspection certification, contract advice, legal advice, tax advice, financial advice, or investment advice.

No Site content should be relied upon as a substitute for appropriate rig inspection, engineering verification, class review, regulatory review, HSE assessment, operational assurance, contract review, commercial due diligence, or professional advice relevant to the particular asset, jurisdiction, or project. Offshore activities involve asset-specific, operating-condition-specific, and jurisdiction-specific risks. Decisions must be based upon appropriate professional assessment.

4. No Offer or Contract

Nothing published on the Site constitutes a binding offer, quotation, tender, proposal, guarantee, representation, commitment, warranty, or contractual undertaking.

Any engagement with SONAT Offshore is subject to separately agreed written documentation addressing, as applicable, scope, deliverables, assumptions, exclusions, responsibilities, pricing, schedule, standards, risk allocation, liability, confidentiality, governing law, and required technical and regulatory approvals.

Accessing or using the Site, submitting an enquiry, requesting a demonstration, subscribing to updates, or joining a talent pool does not create an agency, partnership, joint venture, fiduciary, employment, consulting, advisory, client, or other professional relationship between you and SONAT Offshore. Any such relationship arises only under a separately executed written agreement where applicable.

5. Future Asset Ownership and Operating Activities

SONAT Offshore has been structured to support offshore assets throughout their lifecycle and may develop or undertake activities relating to:

  • offshore rig or asset acquisition;
  • offshore asset investment;
  • rig ownership;
  • rig leasing or chartering;
  • fleet management;
  • drilling operations;
  • drilling-management services;
  • asset development;
  • joint ventures;
  • alliances;
  • subsidiaries;
  • special-purpose vehicles;
  • project companies; and
  • related energy infrastructure.

References on the Site to such activities may describe present capabilities, strategic objectives, or anticipated future activities. Unless expressly confirmed otherwise, such references do not constitute a representation that a particular asset has been acquired, investment has been completed, financing has been obtained, drilling contract has been awarded, operating license has been issued, joint venture has been formed, or offshore operation has commenced.

Ownership and operating activities may be undertaken directly by Sonat for Oil and Gas Services or through duly authorized subsidiaries, affiliates, alliances, joint ventures, or special-purpose entities where appropriate.

6. No Investment Offering

Nothing on the Site constitutes or forms part of an offer to sell securities, a solicitation to purchase securities, an invitation to invest, a financing solicitation, an investment recommendation, an offer of participation in an offshore asset, an offer of a joint-venture interest, an offer of debt or equity, or an offer of any regulated financial instrument.

Any investment, financing, asset participation, or joint-venture opportunity will be subject to separate documentation, due diligence, approvals, risk disclosures, and applicable law.

7. Accuracy and Forward-Looking Information

SONAT Offshore seeks to maintain accurate and professional information on the Site. However, technical requirements change, offshore asset conditions vary, regulations evolve, classification requirements may change, project assumptions develop, commercial information can become outdated, and product or platform functionality may evolve.

Accordingly, SONAT Offshore does not warrant that every item of Site content is complete, error-free, current, or appropriate for any specific project or purpose. Descriptive expressions such as “Tier-1 governance,” references to geographic reach, and statements concerning planned offices, affiliates, services, platforms, assets, investments, projects, or operating activities describe SONAT Offshore’s intended positioning, methods, experience, or expectations at the time of publication; they are not third-party certifications, guarantees, or commitments unless expressly stated otherwise. SONAT Offshore may modify, remove, or replace Site content at any time.

8. Professional Experience Statements

Where the Site refers to years of industry experience, project history, regional exposure, or asset-class experience, such statements may refer to the collective professional experience of SONAT Offshore’s leadership, personnel, consultants, or project team, as applicable. Such statements do not necessarily mean that every referenced historical project was contracted or performed by the present legal entity itself unless expressly stated.

9. Intellectual Property

Unless otherwise stated, the Site and its contents are owned by, licensed to, or lawfully used by SONAT Offshore. This may include SONAT Offshore branding; the SONAT name and visual identity; logos and devices; text; photographs; graphics; diagrams; reports; methodologies; website design; software concepts; digital-platform interfaces; dashboards; Sonat OS; AssetOS; ProjectOS; and other proprietary materials.

References to a name, logo, product, or platform as proprietary do not necessarily represent that a trademark registration has been granted in every jurisdiction. Third-party trademarks and materials remain the property of their respective owners.

You may view and print reasonable portions of the Site for lawful internal business evaluation. Except where permitted by law or expressly authorized in writing, you may not reproduce, republish, distribute, commercially exploit, license, modify, scrape, systematically extract, reverse engineer, remove proprietary notices from, or create derivative works from Site content or proprietary SONAT Offshore materials.

10. Third-Party Standards, Certifications, and Trade Names

The Site may refer to standards, recommended practices, certifications, qualification schemes, class requirements, or organizations such as ISO, API, DS-1, classification societies, IWCF, IADC, and similar industry bodies. Those names, standards, specifications, marks, and materials are owned or controlled by their respective rights holders. References are descriptive only and do not imply sponsorship, endorsement, accreditation, certification, approval, or affiliation with SONAT Offshore unless expressly stated in writing. Users must consult the current official version of any applicable standard, rule, code, or certification requirement and obtain project-specific professional advice before relying on it.

Where the Site states that a SONAT Offshore service, workflow, or digital platform is “aligned with,” “built around,” or otherwise references an industry standard, that statement describes an intended design or working framework and is not a substitute for independent conformity assessment, class approval, regulatory acceptance, or certification.

11. Digital Platforms

The Site may contain information, mock-ups, screenshots, dashboards, simulations, or demonstrations concerning Sonat OS, AssetOS, ProjectOS, or other digital products. Unless expressly stated otherwise, demonstration content is illustrative.

Platform descriptions on the Site may refer to features such as multi-tenant role-based access control, equipment and integrity registers, standards-based taxonomies, maintenance or certification alerts, earned-value metrics, Gantt schedules, risk registers, change control, audit histories, document records, exports, and other enterprise functionality. Such descriptions state intended or demonstrated functionality at the time of publication and do not guarantee that every feature is available, configured, certified, or suitable for every user, asset, jurisdiction, or production environment. Access to a demonstration, pilot, or production platform may be subject to separate license terms, service agreements, confidentiality obligations, cybersecurity requirements, data-processing agreements, and acceptable-use rules.

No Site demonstration or digital-platform output should be used as the sole basis for a safety-critical, engineering, well-control, marine or operational, regulatory, commercial, financial, or investment decision unless the applicable written agreement expressly provides for such use and the necessary professional verification has been completed.

12. Acceptable Use

You may use the Site only for lawful purposes. You must not:

  • attempt unauthorized access to the Site, servers, or connected systems;
  • circumvent security controls;
  • introduce malicious software or code;
  • interfere with Site availability;
  • misuse forms or communications;
  • impersonate another person or organization;
  • submit unlawful, misleading, or infringing content;
  • harvest personal information without authority;
  • use automated systems in a manner that imposes unreasonable load;
  • scrape or systematically reproduce proprietary Site content;
  • misuse SONAT Offshore names, marks, or materials; or
  • use the Site in violation of applicable law.

SONAT Offshore may restrict or block access where reasonably necessary to protect security, systems, users, or legal rights.

13. Information Submitted to SONAT Offshore

Information submitted through the Site must be accurate and lawfully provided. By submitting information, you confirm that you are authorized to provide it.

Do not submit through a general website form classified information, export-controlled information, legally privileged material, highly sensitive operational information, client-confidential technical documentation, proprietary well information, third-party confidential information, or information subject to special contractual security requirements unless SONAT Offshore has expressly authorized an appropriate secure transfer method.

Personal data submitted through the Site will be handled in accordance with our Privacy Policy.

Unsolicited non-confidential suggestions or feedback may be considered by SONAT Offshore without creating an obligation to compensate or engage the sender, except where otherwise agreed in writing.

14. Recruitment and Talent Pool

Submission of a curriculum vitae, certificates, talent profile, or expression of interest through the Site’s talent-pool process does not guarantee employment, guarantee mobilization, constitute an employment contract, constitute a consultancy agreement, guarantee inclusion in a client proposal, or create an obligation for SONAT Offshore to offer work. Vacancy descriptions, mobilization timing, qualifications, and project requirements may change. Any employment, consulting, or project engagement must be separately confirmed in writing.

15. Third-Party Links and Services

The Site may contain links to third-party websites, social-media platforms, interactive demonstrations, or services. A link, icon, or reference that is not yet activated does not represent an active SONAT Offshore account or service. SONAT Offshore does not control third parties and is not responsible for their availability, content, security, accuracy, terms, privacy practices, or performance. Links do not necessarily constitute endorsement. Use of third-party services is subject to their own terms.

16. Site Availability and Cybersecurity

SONAT Offshore does not warrant that the Site will always be continuously available, uninterrupted, error-free, compatible with every device, free of harmful components, or unchanged. We may suspend, modify, or discontinue parts of the Site for operational, security, maintenance, legal, or commercial reasons. Users remain responsible for maintaining appropriate cybersecurity protections on their own devices and networks.

17. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Site and its content are provided on an “as is” and “as available” basis.

SONAT Offshore excludes warranties, representations, and conditions, whether express, implied, or statutory, relating to the Site, including as to accuracy, completeness, availability, uninterrupted operation, fitness for a particular purpose, merchantability, non-infringement, and suitability for a particular technical, commercial, or investment decision. Nothing in these Terms excludes any protection that cannot lawfully be excluded.

18. Limitation of Liability

To the maximum extent permitted by applicable law, Sonat for Oil and Gas Services, SONAT Offshore, and their respective affiliates, directors, officers, employees, consultants, and representatives will not be liable for indirect, incidental, special, exemplary, punitive, or consequential losses arising from or relating to access to the Site, inability to access the Site, reliance upon Site content, third-party links, interruption or loss of Site availability, malicious material introduced by third parties, or use of illustrative digital-platform content.

This includes, where legally permitted, loss of profit, revenue, business, production, opportunity, contract, data, goodwill, or anticipated savings.

Nothing in these Terms excludes or restricts liability for fraud or fraudulent misrepresentation, where exclusion is prohibited by applicable law, or for any other liability that cannot lawfully be excluded or limited.

19. Privacy

Personal data collected through or in connection with the Site is handled in accordance with the SONAT Offshore Privacy Policy.

20. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising from or in connection with use of the Site are governed by the laws of the Arab Republic of Egypt. Subject to any mandatory law to the contrary, the competent courts of Cairo, Egypt, shall have jurisdiction over disputes arising from or relating to these Terms or use of the Site. Nothing in this provision prevents SONAT Offshore from seeking urgent, protective, or injunctive relief from another court of competent jurisdiction where legally appropriate.

21. Language

These Terms may be made available in English, Arabic, or other languages. Where different language versions are published and an inconsistency arises, the English version will prevail to the extent permitted by applicable law, unless SONAT Offshore expressly states otherwise for a particular jurisdiction or document.

22. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or limited to the minimum extent necessary and the remaining provisions will continue in effect.

23. No Waiver

A failure or delay by SONAT Offshore in exercising a right or remedy does not constitute a waiver of that right or remedy.

24. Changes to These Terms

SONAT Offshore may update these Terms to reflect changes in the Site, the business, corporate structure, digital platforms, legal requirements, or operating activities. The effective date displayed above identifies the current version. Continued use of the Site after revised Terms become effective constitutes acceptance to the extent permitted by applicable law.
